Subscription starts for KRUK retail bonds in Euro

The subscription period for Series AO3EUR bonds offered by KRUK has begun today, and will continue from November 27th to December 8th 2023. The bonds are being issued in a public offering under the Tenth Bond Programme at the issue price equal to their nominal value. The Final Terms and Conditions of Series AO3EUR bonds were announced by the Company on November 22nd. The issue price per bond is EUR 100, and the total nominal value of the entire series is EUR 5m. The bonds will bear interest at a floating rate, based on 3M EURIBOR plus a fixed margin of 4.0 percentage points per annum. The offering will be carried out by a distribution syndicate comprising: Dom Maklerski BDM S.A., Michael / Ström Dom Maklerski S.A., Bank Polska Kasa Opieki S.A. - Biuro Maklerskie Pekao and Dom Inwestycyjny Xelion sp. z o.o. The bonds will exist in book-entry form and the Company will apply for their admission to trading on the Catalyst regulated market operated by the Warsaw Stock Exchange.

For the first time in its history of bond issuance, KRUK is reaching out to retail investors by offering securities in euro. Previously, two series denominated in this currency were placed with institutional investors in the Polish market, both of which have already been redeemed. Considering our international expansion and heeding the input from retail investors, we have resolved that the next bond issue under the prospectus programme will be denominated in euros. This marks another step in diversifying the financing of the KRUK Group’s operations and introduces a new KRUK product on the bond market, specifically tailored for retail investors. Subscription for the bonds has begun today, November 27th, and will last until December 8th,” comments Piotr Krupa, CEO of KRUK S.A. “We are at a very good point in our growth – investments after the first three quarters of the year amounted to nearly PLN 2bn, and net profit exceeded PLN 750m. After 25 years of operation, KRUK has reached a new level, and our aspiration is to achieve even greater success.

The offering of Series AO3EUR bonds will be conducted on the basis of the Prospectus for KRUK’s Tenth Bond Programme, approved by the Polish Financial Supervision Authority on July 11th 2023. Under the Prospectus, KRUK may issue bonds with a total nominal value of up to PLN 700m until July 2024.
