Current Report No. 1/2023: Conclusion of negotiations and execution of agreement on sale of shares in ERIF Biuro Informacji Gospodarczej S.A. and in ERIF Business Solutions sp. z o.o.

The Management Board of KRUK S.A. (“KRUK”, the “Company”) announces that on January 3rd 2023 it finally negotiated the terms and executed an agreement with CRIF A.G. of Zurich, Switzerland and CRIF sp. z o.o. of Cracow, Poland, whereby the Company will sell all its shares in ERIF Biuro Informacji Gospodarczej S.A. (ERIF) and in ERIF Business Solutions sp. z o.o. (EBS). The transfer of shares shall be effected upon crediting the Issuer's bank account with the amount of the selling price.

Combined consolidated revenues of ERIF and EBS for January–September 2022 totalled PLN 6.8m, while their combined EBITDA amounted to PLN 0.6m.

The business of ERIF consists in the collection, processing and provision of credit information on natural persons and businesses.

EBS is in the business of providing support services to SME sector entities.
