Current Report No. 34/2019: Appointment of Supervisory Board members

The Management Board of KRUK S.A. (the “Company”) announces that on June 25th 2019 the Company’s Annual General Meeting appointed, effective the same date, the following persons to serve on the Company’s Supervisory Board: Piotr Szczepiórkowski, Tomasz Bieske, Katarzyna Beuch, Ewa Radkowska-Świętoń and Mateusz Melich.
Below are presented the biographical notes of the new Supervisory Board members.
Katarzyna Beuch
Katarzyna Beuch graduated from the Faculty of Management and Computer Science of the Wrocław University of Economics. She also completed a postgraduate USAID programme on asset and liability management and banking risk at the Warsaw Institute of Banking. She started her professional career in 1992 at the Assets and Liabilities Management Department of Bank Zachodni S.A. of Wrocław. In 1996–2006, she worked at the Audit Department of Ernst & Young Audit sp. z o.o., where she was responsible for auditing financial statements, due diligence projects and accountancy consulting at financial institutions, such as banks, leasing and insurance companies, pension and investment funds, and non-financial enterprises. From 2006 to 2012, she served as a member of the Management Board and Deputy CFO at Getin Holding S.A. She was Head of the Accounting Department at Santander Consumer Bank S.A. In 2016−2018, she held the position of Director General for Controlling and Economic Analysis at KGHM Polska Miedź S.A. She has had ACCA qualification since 2000 (and FCCA professional title since 2005). She is the author of publications on the application of International Financial Reporting Standards. Since April 1st 2013, Ms Katarzyna Beuch has been a member of the Supervisory Board of KRUK S.A.
Ewa Radkowska-Świętoń
Ewa Radkowska-Świętoń holds a degree in Finance and Banking from the Warsaw School of Economics. She began her professional career in 1995 at the Capital Transactions Centre of Bank Handlowy. In 1996−2006, she worked for ING Investment Management Polska S.A. (currently NN Investment Partners TFI S.A.) as an analyst, portfolio manager, fund manager, and acting Investment Director. Afterwards, she was fund manager at Aviva Investors Polska S.A. In 2008–2017, she held the position of Management Board Member and then Vice President of the Nationale Nederlanden PTE S.A. Management Board, simultaneously serving as Investment Director. From September 2017 to January 2019, Ms Radkowska-Świętoń was President of the Skarbiec TFI S.A. Management Board, and Vice President and then President of the Skarbiec Holding S.A. Management Board. She is also a Chartered Financial Analyst (CFA) and a Financial Risk Manager (FRM).
Tomasz Bieske
Tomasz Bieske graduated from the Faculty of Economics of the University of Cologne in Germany. For six years, he worked at the Dresdner Bank’s head office in Frankfurt. After returning to Poland in 1990, Mr Bieske co-founded Artur Andersen in Poland and served as head of the Financial Markets Group, where he was responsible for dealings with financial sector clients. When Andersen was merged with Ernst & Young, he assumed the position of head of the Financial Markets, Audit and Business Advisory Group of the combined firm. He has been involved in a majority of high-profile projects executed in the Polish financial services sector. The projects included planning of the public offerings of PKO BP S.A. and Kredyt Bank S.A., audit of the financial statements of the National Bank of Poland, PKO S.A. and Getin Holding, and developing a concept for the privatisation of the Warsaw Stock Exchange. Tomasz Bieske also contributed to the development of a strategy for Bank Pocztowy and an operational change plan for the Ministry of Finance. He was engaged in transactions to sell NPL portfolios, as well as in share valuations of private banks in Poland, and in a number of due diligence processes for foreign investors. Since 2011, Tomasz Bieske has been part of a team working on changes to laws and business regulations governing the cooperative banking sector (EU Directive IV, proposed changes to Polish laws, cooperation with the Ministry of Finance and the Polish Financial Supervision Authority). He has also established close cooperation with the Polish Bank Association and the National Association of Cooperative Banks. He holds a qualified auditor licence in Poland and is the author of many publications on the banking sector and financial markets. In 2011, he was presented with a gold medal from the Polish Bank Association for his contribution to the development of banking in Poland in 1991–2011. Until June 30th 2013, he worked for Ernst & Young. He is a member of the Supervisory Board and Chair of the Audit Committee at mBank S.A. and a member of the Supervisory Boards of Kruk S.A. and Prime Car Management S.A.
Piotr Szczepiórkowski
Piotr Szczepiórkowski is an expert in pension systems, asset management and capital markets. A licensed investment advisor (licence No. 136), full member of the Polish Society of Actuaries, and member of CFA Society Poland (CFA Charterholder). Mr Szczepiórkowski, graduate of the Faculty of Chemical and Process Engineering at the Warsaw University of Technology (1985), started his professional career as an assistant at the Faculty of Chemical and Process Engineering of his alma mater (1985–1990). Later, he worked at the Ministry of Finance (Department of Financial Institutions) and Bank Gospodarstwa Krajowego (Department of Monetary Management). For many years (1993–2016) he worked for the Commercial Union Polska Group (currently Aviva Polska), serving in various roles at the Financial Department of the life insurance company: initially as an accountant (6 months’ internship), then as Deputy Financial Director (12 months), and as Deputy Investment Director (1995–1998). During that period, he established investment policies, developed a methodology for the operation of the Guaranteed Fund and built a leading investment team. He joined Commercial Union PTE in 1999 as Vice President of the Management Board, Investment Director. He assembled a 10-strong Investment Department team responsible for managing the assets of the largest open-ended investment fund. Appointed President of the Management Board of Commercial Union PTE in 2001, he supervised the sales process and marketing and investment activities of the Fund. He managed the work of the management company’s Investment and Strategic Committees. Member of the Audit Committee of the Chamber of Commerce of Pension Funds (IGTE). As a member of the Polish Institute of Directors, he was actively involved in the implementation of corporate governance standards on the Polish capital market. In 2008–2016, as Vice President of the Management Board of Aviva Towarzystwo Ubezpieczeń na Życie, he was responsible for (individual and group) life insurance product policy as well as health and investment insurance offering. Mr Szczepiórkowski contributed to upgrading basic insurance products and helped modernise the applied underwriting rules. In that period, he was Chair and Deputy Chair of the Life Insurance Committee of the Polish Insurance Association. He was in charge of a working group introducing the rules of gender-neutral premiums and collaborated with ULIPs in the implementation of an information standard, i.e. the product card. During his professional career he has passed all 14 exams under a training programme to achieve the ACCA qualification, completed Executive Management Development courses organised by CEDEP (Fontainebleau), Columbia University and Wharton School of Business. At present, he is a member of Supervisory Boards of the following WSE-listed companies: FM Forte S.A., Ipopema Securities S.A., Octava S.A., Decora S.A., as well as a member of the Supervisory Board and Chair of the Audit Committee of Ipopema TFI S.A.
Mateusz Melich
Mateusz Melich holds a degree in Finance and Banking from the Warsaw School of Economics. He started his professional career in 2003 with the transaction advisory arm of Ernst & Young in Berlin. From 2004 to 2013, he worked at the Capital Markets Department of IPOPEMA Securities S.A. as a manager responsible for carrying out ordinary bond issues, convertible bond issues as well as initial and secondary public offerings for a number of companies listed on the Warsaw Stock Exchange. In 2014, he became President of the Management Board of Dom Inwestycyjny ZENITH S.A., a corporate financial advisory firm. From 2016 to 2019, he was a director at Mercurius Dom Maklerski Sp. z o.o. For many years, Mr Melich has conducted training courses in company valuations for postgraduate students at the Warsaw School of Economics. He also studied economics at the Ludwig Maximilian University of Munich.
The Company further announces that the appointed persons are not engaged in any business activities competing with the Company’s business, nor are they partners in any partnership under civil law or other type of partnership competing with the Company’s business, or members of the governing body of any company or other legal entity competing with the Company’s business, and are not entered in the Register of Insolvent Debtors maintained pursuant to the Act on the National Court Register of August 20th 1997.
