Current Report No. 36/2016: Appointment of two Supervisory Board members
The Management Board of KRUK S.A. (the “Company”) announces that today, i.e. May 4th 2016, the Company received a statement from Piotr Krupa, an entitled shareholder, on exercise of the rights granted under Art. 11.5 and Art. 11.8 of the Company's Articles of Association and on appointment, with effect from May 9th 2016, of Krzysztof Kawalec and Piotr Stępniak as members of the Supervisory Board of the new term of office.
Below are presented the biographical notes of the new Supervisory Board members:
1. Krzysztof Kawalec
Mr Krzysztof Kawalec, President of the Management Board of Magellan S.A., has been with the Company since 2001. He is a graduate of the Technical University of Łódź (Faculty of Organisation and Management), where he was awarded an MA degree in Business Management. He completed post-graduate courses in Enterprise Value Management and in Management Accounting and Controlling at the Warsaw School of Economics in 2002 and 2003, respectively. In 2006, Mr Krzysztof Kawalec completed an MBA programme at PAM Center University of Łódź, University of Maryland. In 1998–2001, he worked as a Manager at IFFP Sp. z o.o. (International Fast Food Polska Sp. z o.o.) of Warsaw. He was Head of Contracting at Magellan S.A. from 2001 to 2002, and then member of the Magellan S.A. Management Board and CFO from 2002 to 2003. Mr Krzysztof Kawalec served as Vice-President of the Company's Management Board and its Chief Operating Officer from 2003, and has been President of the Management Board of Magellan S.A. since July 1st 2008. In addition, he sits on the Supervisory Boards of MEDFinance S.A. and Magellan s.r.o and is a Member of the Board of Magellan Central Europe s.r.o.. Since 2009, he has also been a member of the Supervisory Board of KRUK S.A. of Wrocław.
2. Piotr Stępniak
Mr Piotr Stępniak is a graduate of Guelph University, Canada − BA double major: Economics, Management. He completed Ecole Supérieure de Commerce de Rouen, France: EMBA and Purdue University, USA − Master of Science in Management. His career included the positions of President of the GETIN Holding S.A. Management Board, and Vice-President of the Lukas Bank S.A. Management Board. He is a member of the Supervisory Boards of the following entities: FM Bank PBP S.A., Skarbiec TFI S.A., Skarbiec Holding S.A., ATM Grupa S.A., Magellan S.A.
The Company further announces that, in accordance with their representations, Krzysztof Kawalec and Piotr Stępniak are not engaged in any activities competing with the Company’s business, nor are they partners in any partnership under civil law or other type of partnership competing with the Company or members of a governing body of any competing company or legal entity. Furthermore, they are not entered in the Register of Insolvent Debtors maintained pursuant to the Act on the National Court Register.
