Current Report No. 52/2025: Cost summary of the Eleventh Public Bond Issue Programme

In connection with the expiration of the Eleventh Public Bond Issue Programme (the “Programme”) on September 18th 2025, and further to Current Report No. 32/2024 April 19th 2024, the Management Board of KRUK S.A. (the “Issuer”) discloses information on the costs incurred under the Programme.

The total costs of the Programme, under which four issues of:

• 750,000 AP1 Series bonds,
• 1,250,000 AP2 Series bonds,
• 1,000,000 AP3 Series bonds and
• 1,000,000 AP4 Series bonds

were conducted, amounted to PLN 10,166,289.

This amount includes:

• costs related to the preparation and approval of the issue prospectus, including consultancy costs - PLN 181,050,
• costs of preparing and conducting a bond offer - PLN 9,854,499,
• costs of promotion of bond offers - PLN 130,740.

The Issuer issued a total of 4,000,000 bonds with a nominal value of PLN 100 under the Programme. The average total cost of conducting the offerings per bond offered was PLN 2.54. The Issuing Party did not bear the costs of sub-issuers' remuneration, because it did not conclude sub-issue agreements in connection with the bond offers.  

The Programme costs in the amount of PLN 10,008,999 were recognized as prepaid expenses and are charged to the financial result from the date of issue to the redemption date. The remaining costs of the Programme in the amount of PLN 157,290 are charged to the Company's current operating expenses.
