Subject: The total value of agreements between the KRUK Group and the Erste Group exceeds the threshold of 10% of the KRUK Group’s revenue

The Management Board of KRUK S.A. (the “Company”) reports that on November 20th 2013 the Company’s subsidiary, Secapital S.a.r.l. (“Secapital”, “Assignee”) and Banca Comerciala Romana S.A. (the “Assignor”, the “Bank”), the Erste Group company, executed a debt assignment agreement (the “Agreement”), as a result of which the total value of agreements executed by the KRUK Group and the Erste Group from the date of release of Current Report No. 11/2013 of February 27th 2013 reached PLN 63.7m, thus exceeding 10% of the KRUK Group’s revenue for the last four financial quarters.
In terms of value, the largest of these agreements is the Agreement referred to above. It provides for the assignment of the Bank’s receivables under loan agreements executed by the Assignor with its customers. Under the Agreement Sacecapital purchased 15,621 debt claims with a total nominal value of RON 154,330,383.37, for a price representing 19.90% of the nominal value of the debt claims, i.e. RON 30,711,746.29 (the price translated at the mid exchange rate quoted by the National Bank of Poland for November 20th 2013 is PLN 28,915,109.13) (the “Price”).
Debt claims covered by the Agreement comprise receivables under consumer loans.
The Agreement stipulates no conditions precedent.
The Agreement provides for a contractual penalty payable by the Assignee for delayed payment of the Price, at the rate of 0.01% for each day of the delay, and the maximum amount of the penalty cannot exceed the equivalent of EUR 200,000.
Other terms and conditions of the Agreement do not differ from those commonly used in agreements of such type.
